All orders are delivered as Recorded Delivery.

1.1  Delivery of the Products shall be made by synergy biologics delivering the Products to the place in UK mainland specified in  the Customer’s order and/or synergy biologics’s acceptance as the location to which the Products are to be delivered by synergy biologics.

1.2  The Delivery Date is approximate only and time for delivery shall not be of the essence unless previously agreed by synergy biologics in writing. The Products may be delivered by synergy biologics in advance of the Delivery Date upon giving reasonable notice to the Customer.

1.3  Where the Products are to be delivered in instalments, each delivery shall constitute a separate contract and failure by synergy biologics to deliver any one or more of the instalments in accordance with these Terms and Conditions or any claim by the Customer  in respect of any one or more instalments shall not entitle the Customer to treat the Contract as a whole as repudiated.

1.4  If the Customer fails to take delivery of the Products or any part of them on theDelivery Date and/or fails to provide any instructions, documents, licences,consents or authorisations required to enable the Products  to be delivered on that date, synergy biologics shall be entitled upon giving written notice to the Customer to store or arrange for the storage of the Products and then not withstanding the provisions of sub-Clause 10.1, risk in the Products shall pass to the Customer, delivery shall be deemed to have taken place and the Customer shall pay to synergy biologics all costs and expenses including storage and insurance charges arising from such failure.

 

2.1  If synergy biologics fails to deliver the Products or any part thereof on the Delivery Date other than for reasons outside synergy biologics’s reasonable control or the Customer’s or its carrier’s fault:

2.2  if synergy biologics delivers the Products at any time thereafter OR within 5 working days thereafter synergy biologics shall have no liability in respect of such late delivery; or

2.3  if the Customer gives notice to synergy biologics within 3 Business Days after the Delivery Date and synergy biologics fails to deliver the Products within 5 Business Days after receiving such notice the Customer may cancel the order and synergy biologics’s liability shall be limited to the excess (if any) of the cost to the Customer (in thecheapest available market) of similar Products to those not delivered over the price of the Products not delivered.

 

3.1  The Customer is under a duty whenever possible to inspect the Products on delivery or on collection as the case may be.

3.2  Where the Products cannot be examined the carrier’s note or such other note as appropriate shall be marked “not examined”.

3.3  synergy biologics shall be under no liability for any damage or shortages that would be apparent on reasonable careful inspection if the provisions of this Clause 3 are not complied with and, in any event, will be under no liability if a complaint is not received by synergy biologics within 2 Business Days of delivery detailing the alleged damage or shortage.

3.4  In all cases where defects or shortages are complained of synergy biologics shall be under no liability in respect thereof unless an opportunity to inspect the Products  is supplied to synergy biologics before any use is made thereof or any alteration or modification is made thereto by the Customer.

3.5  Subject to sub-Clauses 3.3 and 3.4, synergy biologics shall make good any shortage in the  Products and where appropriate replace any Products damaged in transit as soon as it is reasonable to do so, but otherwise shall be under no liability whatsoever arising from such shortage or damage.
